Welcome to the website (including all subdomains, the "Site"), operated by AccelerateX Innovations and its affiliates (collectively, "Acceleratexinnovations," "we," "us," and/or "our"). This Site provides various resources, including information about our investment focus, portfolio companies, and tools for potential startups to submit investment proposals and engage in discussions relevant to entrepreneurship.

Please note that these Terms of Use contain an arbitration agreement, which will generally require you to resolve disputes with Acceleratexinnovations through binding arbitration. Under this agreement:

You will pursue claims against Acceleratexinnovations on an individual basis, and not as part of a class or representative action or proceeding. Relief sought, including monetary, injunctive, or declaratory relief, will typically be sought on an individual basis.

Acceleratexinnovations reserves the sole discretion to modify or amend portions of these Terms of Use at any time. If such changes occur, we will post them on this page, specifying the date of the last revision at the top of the page. We will also notify you through the Site's user interface, email notifications, or other reasonable means. These changes will generally take effect no earlier than fourteen (14) days after posting. However, modifications addressing new features or legal requirements may take immediate effect. Your continued use of the Site after the effective date of any changes signifies your acceptance of the updated Terms of Use.

Access and Use of the Site

Your Registration Obligations:

To access and utilize certain features of Acceleratexinnovations (the "Site"), you may be required to register. By choosing to register, you agree to provide accurate, current, and complete information about yourself as prompted by the Site's registration form. Your registration data and other personal information are subject to the terms outlined in our Privacy Policy. Individuals under the age of 18 are not permitted to register on the Site.

Member Account, Password, and Security:

You are responsible for maintaining the confidentiality of your account password, if applicable, and for all activities conducted using your account. You agree to:

  • Promptly notify Acceleratexinnovations of any unauthorized use of your account or password or any security breach.

Conditions Of Use

User Conduct:

In addition to any specific guidelines or policies that may apply to particular sections of our website, you agree to adhere to the following conditions while using our platform. You are solely responsible for all content, including but not limited to code, video, images, information, data, text, software, music, sound, photographs, graphics, messages, or other materials ("content") that you upload, post, publish, or display (referred to as "upload") on our website or transmit via email or any other means through our platform. The following are examples of prohibited conduct on our platform. Acceleratexinnovations reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions.   • Poses privacy or security risks to individuals.
  • Constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other form of solicitation.
  • Is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, racially, ethnically or otherwise objectionable, or in violation of our content guidelines.
  • Interfering with or disrupting the website or any servers or networks connected to it, or disobeying any requirements, procedures, policies, or regulations of networks connected to the website.
  • Violating any applicable local, state, national, or international laws, or any regulations with the force of law.
  • Impersonating any person or entity or falsely representing your affiliation with any person or entity.
  • Soliciting personal information from anyone under the age of 18.
  • Harvesting or collecting email addresses or other contact information of users for the purpose of sending unsolicited emails or other communications.
  • Advertising, offering to sell, or buying goods or services for any unauthorized commercial purposes.
  • Promoting or facilitating any criminal activity or enterprise, or providing instructional information about illegal activities.
  • Attempting to access materials or information through any means not intentionally provided for on the website.
Commercial Use:

Unless otherwise expressly authorized on our platform or in our terms, you agree not to use any part of our website, access to our website, or the website itself for commercial purposes. This includes displaying, distributing, licensing, performing, publishing, reproducing, duplicating, copying, creating derivative works from, modifying, selling, reselling, exploiting, transferring, or uploading content for commercial purposes. Engaging in the buying, selling, exchanging, or promotion (commercial or otherwise) of upvotes, comments, submissions, accounts, or any aspect of user accounts is strictly prohibited, constitutes a material breach of these Terms of Use, and may result in legal liability.

Intellectual Property Rights

Site Content, Software, and Trademarks:

You acknowledge and agree that our website may contain content or features ("Site Content") that are protected by copyright, patent, trademark, trade secret, or other intellectual property rights and laws. Unless expressly authorized by Acceleratexinnovations, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Site or the Site Content, in whole or in part, except for your own User Content (as defined below) that you legally upload to the Site. While using the Site, you will not engage in or use any data mining, robots, scraping, or similar data gathering or extraction methods. If Acceleratexinnovations blocks your access to the Site (including by blocking your IP address), you agree not to employ measures to circumvent such blocking, such as masking your IP address or using a proxy IP address. Any use of the Site or the Site Content that goes beyond the specific authorizations provided herein is strictly prohibited. All rights not expressly granted herein are reserved by Acceleratexinnovations.

The trademarks, including the Acceleratexinnovations name and logos, are the property of Acceleratexinnovations (collectively the "Acceleratexinnovations Trademarks"). Any other trademarks used on the Site may be the trademarks of their respective owners, who may or may not be affiliated with or endorsed by Acceleratexinnovations. Nothing in these Terms of Use or on the Site should be interpreted as granting, by implication, estoppel, or otherwise, any license or right to use any of the Acceleratexinnovations Trademarks displayed on the Site without our prior written permission for each specific instance. Any goodwill generated from the use of Acceleratexinnovations Trademarks will benefit us exclusively.

Third-Party Material

Under no circumstances will Acceleratexinnovations be held liable for any content or materials provided by third parties, including founders, investors, or other users. This includes any errors or omissions in third-party content or any losses or damages incurred due to the use of such content. You acknowledge that Acceleratexinnovations does not pre-screen content but reserves the right (though not the obligation) to refuse or remove any content available on the Site. Acceleratexinnovations may remove any content that violates these Terms of Use or is deemed by Acceleratexinnovations, at its sole discretion, to be objectionable.

User Content Transmitted Through the Site

Regarding the content or materials you upload through the Site or share with other users ("User Content"), you represent and warrant that you own all rights to such User Content, including copyrights and rights of publicity. By uploading User Content, you grant Acceleratexinnovations and its affiliated companies a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to use, copy, display, upload, perform, distribute, store, modify, and otherwise use your User Content for any Acceleratexinnovations -related purpose in any form or medium.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Site provided by you to Acceleratexinnovations are non-confidential, and we have the right to use and disseminate these submissions for any purpose without acknowledgment or compensation to you.

Without limitation, you acknowledge and agree that Acceleratexinnovations may preserve content and disclose it if required by law or if we believe, in good faith, that such preservation or disclosure is necessary to: (a) comply with legal process, applicable laws, or government requests; (b) enforce these Terms of Use; (c) respond to claims that content violates third-party rights; or (d) protect the rights, property, or personal safety of Acceleratexinnovations, its users, and the public. You understand that the technical processing and transmission of the Site, including your content, may involve (a) transmissions over various networks and (b) changes to conform and adapt to the technical requirements of connecting networks or devices.

Counter-Notice

If you believe that your User Content, which was removed or had its access disabled, does not infringe upon intellectual property rights, or if you have the authorization from the copyright owner, their agent, or are acting in accordance with the law to upload and use the content in your User Content, you may submit a written counter-notice to our Copyright Agent. The counter-notice should contain the following information:

  • Your physical or electronic signature.
  • Identification of the content that was removed or had its access disabled, along with the location where it was previously available before removal or disabling.
  • A statement expressing your good faith belief that the removal or disabling of the content occurred due to a mistake or misidentification.
  • Your name, address, telephone number, and email address.
  • A statement indicating your consent to the jurisdiction of the federal court located within India.
  • A statement affirming your willingness to accept service of process from the person who originally notified us of the alleged infringement.

Upon receipt of a valid counter-notice, Acceleratexinnovations will forward a copy of the counter-notice to the original complainant, informing them that the removed content may be replaced or access may be restored within 10 business days. Unless the copyright owner initiates a legal action against the content provider, member, or user, the removed content may be reinstated, or access to it may be restored, within 10 to 14 business days or more at our discretion.

Repeat Infringer Policy

If you access our platform using a mobile device, please be aware that controlling tracking technologies through device settings may be limited. We are committed to enhancing your privacy across all devices and will continue to implement measures to improve your experience.

Information Usage

In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, Acceleratexinnovations has adopted a policy to address repeat infringers. At our sole discretion, we may terminate users who are determined to be repeat infringers. Additionally, we may limit access to the Site and/or terminate the registrations of any users who infringe upon the intellectual property rights of others, regardless of whether it constitutes repeat infringement.

Indemnity and Release

You agree to release, indemnify, and hold Acceleratexinnovations and its affiliates, as well as their officers, employees, directors, and agents, harmless from any and all losses, damages, expenses (including reasonable attorney's fees), rights, claims, actions, and injuries (including death) arising out of or related to:

  • Your use of our platform or any related information.
  • Any User Content you upload.
  • Your violation of these Terms of Use or your violation of the rights of another party.

Disclaimer of Warranties

Your use of our platform is entirely at your own risk. The platform is provided on an "as is" and "as available" basis. Acceleratexinnovations expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

    Acceleratexinnovations makes no warranty that:

  • The platform will meet your specific requirements.
  • The platform will be uninterrupted, timely, secure, or error-free.
  • The results obtained from using the platform will be accurate or reliable.

Limitation of Liability

You expressly understand and agree that Acceleratexinnovations shall not be held liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if Acceleratexinnovations has been advised of the possibility of such damages). These damages may arise from:

  • The use or inability to use our platform or any related information.
  • Unauthorized access to or alteration of your transmissions or data.
  • Statements or conduct of any third party (including users) on our platform.
  • Any other matter relating to our platform.
  • In no event will Acceleratexinnovations's total liability to you for all damages, losses, or causes of action.

Certain jurisdictions may not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Therefore, some of the above limitations may not apply to you. If you are dissatisfied with any aspect of our platform or these Terms of Use, your sole and exclusive remedy is to discontinue using our platform.

Confidentiality

All arbitration proceedings and related decisions will remain confidential, benefiting all parties involved.

Severability

If any part of these Terms & Conditions is deemed invalid or unenforceable, both parties agree to replace it with a valid provision.

Termination

We reserve the right to suspend or terminate your account and access to the site for any reason, including non-use or violation of these terms. Any suspected unlawful activity may be reported to law enforcement. We may also discontinue the site at our discretion without notice.

User Disputes

You are responsible for your interactions with other users, and we have no liability in such matters. While we may choose to assist, it is not an obligation.

General

These terms are the full agreement between you and us regarding the site. They are governed by Indian law. Any disputes not subject to arbitration will be resolved in India. Failure to enforce a provision does not waive it. Any claims must be filed within one year. These terms can only be assigned with our written consent.
